Terms & Conditions

1. General Provisions

These terms and conditions govern the relationship between B M SOLUTIONS, s. r. o. ("Provider") and the client ("Client") in the provision of consulting services.

2. Subject of Contract

The Provider undertakes to provide consulting services in IT, finance, and business management according to the agreed conditions in a work contract or service contract.

3. Price and Payment

The price of services is agreed individually in the contract. Payment is made according to agreed conditions, usually based on an invoice with a 14-day payment term.

In case of late payment, the Provider reserves the right to charge default interest according to applicable legal regulations.

4. Obligations of Parties

The Provider undertakes to:

  • Provide services professionally and within the agreed timeframe
  • Maintain confidentiality of information obtained from the Client
  • Inform the Client about the progress of work

The Client undertakes to:

  • Provide necessary information and documents
  • Pay the agreed price within the agreed term
  • Cooperate in the implementation of services

5. Confidentiality

Both parties undertake to maintain confidentiality of all information obtained in connection with the contract and not to use it for other purposes without written consent of the other party.

6. Liability

The Provider is liable for damages caused by breach of contract, if such damages arose from its fault. Liability is limited to direct damage.

The Provider shall not be liable for damages arising from circumstances beyond its control, including force majeure, natural disasters, war conflicts, or interventions by third parties over which it had no influence.

The Provider's liability is in any case limited to the amount of the agreed remuneration for the services provided, unless the contract provides otherwise.

7. Data Protection

The Provider processes the Client's personal data in accordance with the GDPR (General Data Protection Regulation) and Act No. 18/2018 Coll. on the Protection of Personal Data.

Detailed information on the processing of personal data is set out in the Privacy Policy, which forms part of these terms and conditions and is available on the Provider's website.

8. Intellectual Property

All intellectual property rights, including copyrights, trademarks, patents, and trade secrets, that arise in connection with the provision of services, remain the property of the Provider, unless the contract provides otherwise.

The Client has the right to use the results of the Provider's work exclusively for the purposes for which they were created, within the scope agreed in the contract.

9. Termination of Contract

Either party may terminate the contract in writing in case of a material breach of contract by the other party, which is not remedied within 30 days of delivery of a written notice.

In case of termination of the contract by the Client without cause, the Client is obliged to pay the Provider the remuneration for services already provided and costs incurred in connection with the preparation of service provision.

10. Dispute Resolution

Disputes arising from this contract or in connection with it, the parties undertake to resolve primarily by agreement. If no agreement is reached, the competent courts are the courts of the Slovak Republic.

Before filing a lawsuit in court, the parties undertake to attempt to resolve the dispute out of court through mediation or another form of alternative dispute resolution.

11. Final Provisions

These terms and conditions are governed by the legal order of the Slovak Republic and the legal regulations of the European Union. Changes to these conditions are valid only with the written consent of both parties.

If any provision of these terms and conditions is invalid or ineffective, it shall not affect the validity of the remaining provisions. An invalid or ineffective provision shall be replaced by a provision that most closely approximates the original intent of the parties.

These terms and conditions take effect on the date of their publication on the Provider's website and apply to all contracts concluded after this date.
